Terms and Conditions

Please read these Terms before installing or using Bidson CRM Sync.

1. Agreement and business use

These Terms govern your use of Bidson CRM Sync (the “Service”). By installing, connecting, or using the Service, you accept these Terms and confirm that you have authority to bind the business or organization you represent.

The Service is offered only for business and professional use. You represent that you are acting in the course of trade or business and not primarily as a consumer. If you do not agree to these Terms, do not use the Service.

2. The Service

The Service transfers Shopify customer information and aggregated order insights to an Attio workspace selected by you. Features may be added, changed, restricted, or removed where reasonably necessary for security, compatibility, reliability, legal compliance, or platform requirements.

The Service is a synchronization aid. It is not an accounting, tax, legal, financial, payment, fulfilment, backup, archival, or system-of-record service. No service level, response time, synchronization interval, or uninterrupted availability is guaranteed unless expressly agreed in writing.

3. Shopify, Attio, and other third-party services

The Service depends on Shopify, Attio, hosting providers, and their APIs. You authorize the Service to retrieve data from your Shopify store and transmit it to the Attio workspace you designate. Your use of Shopify and Attio remains subject to your separate agreements with those providers.

The operator does not control and is not responsible for third-party data, availability, security, accuracy, policy or API changes, rate limits, outages, account restrictions, data residency choices, or acts and omissions. A third-party change may interrupt, restrict, or permanently prevent part of the Service.

4. Accounts, instructions, and your responsibilities

You control the data and instructions submitted to the Service and remain responsible for their lawfulness, quality, accuracy, and use, including financial or operational consequences arising from actions taken using synchronized data.

  • Provide accurate configuration and connect only stores, accounts, data, and workspaces you are authorized to access and instruct the Service to process.
  • Maintain a lawful basis for processing and transferring personal data and provide all notices, choices, and consents required by privacy, marketing, employment, consumer, and data-protection laws.
  • Protect administrator accounts, credentials, permissions, and connected services, and promptly report suspected unauthorized access.
  • Review synchronized records and aggregates before relying on them for decisions, communications, reporting, or marketing.
  • Maintain independent source records, exports, and backups appropriate for your business.

5. Acceptable use and restricted data

You must not use the Service unlawfully; interfere with its security or operation; probe, scan, reverse engineer, overload, or circumvent technical or plan restrictions; introduce malicious code; access another merchant’s data; or use the Service to infringe another party’s rights.

The Service is not designed for special-category personal data, criminal-offence data, payment-card data, government identification numbers, medical information, or data about children. You must not place such information in Shopify fields or tags that the Service synchronizes unless the operator has expressly agreed in writing and all legal and security requirements have been satisfied.

6. Plans, billing, and taxes

Available plans, limits, prices, billing periods, and trial terms are presented through Shopify. Paid charges, cancellations, and any refunds are handled through Shopify Billing unless expressly stated otherwise. You are responsible for applicable taxes, duties, and charges not collected by Shopify.

Downgrading, non-payment, cancellation, or reaching a plan limit may pause processing or prevent new customers from being linked while previously linked customers may continue to update as described in the applicable plan.

7. Data protection and storage

To the extent data-protection law classifies the parties, you generally act as controller of Shopify customer data and the operator processes that data on your documented instructions to provide the Service. These Terms do not replace a data processing agreement where one is required by applicable law.

During an active installation, the Service may store the shop domain, Shopify sessions and access credentials, Attio workspace configuration and encrypted Attio credentials, Shopify-to-Attio linkage identifiers, technical job state, billing status, and security or support metadata. Customer content is processed to perform synchronization, but the Service does not intentionally persist complete raw Shopify customer, order, or webhook payloads.

Completed import and webhook job history is normally retained for up to 90 days, fulfilled privacy-request metadata for up to 30 days, and failed technical jobs until retried, resolved, or otherwise handled. Active linkages remain while needed to provide the Service. Uninstallation, disconnection, and verified privacy requests trigger deletion or clearing as described in the Service’s documented retention behavior, subject to legal obligations, security needs, backups, and technically necessary transition periods.

Production hosting is configured in a European region. Shopify, Attio, the hosting provider, and their subprocessors may nevertheless process or permit access to data in other jurisdictions under their agreements and applicable transfer mechanisms. You are responsible for selecting and configuring your Shopify and Attio services appropriately.

The operator does not sell customer data or use it for advertising or AI model training. The Service’s technical safeguards and data-minimizing design do not constitute certification, regulatory approval, or a guarantee that your use complies with GDPR or any other law.

8. Availability and operational changes

The Service may be delayed or unavailable because of maintenance, deployments, security events, network failure, capacity constraints, rate limits, data errors, or third-party outages. Queues, retries, and estimates do not promise a particular completion time.

The operator may change technical limits, processing methods, integrations, or supported platform versions where reasonably necessary to operate or protect the Service. You are responsible for reviewing notices and maintaining compatible Shopify and Attio accounts.

9. Security

The operator uses reasonable technical and organizational measures intended to protect the Service and limit retained customer data. No internet service, credential system, encryption method, or storage platform is completely secure, and the operator does not guarantee that unauthorized access, loss, or interruption can never occur.

You must use appropriate account security, restrict staff access, promptly revoke unnecessary permissions, and notify support without undue delay if you suspect that the Service or a connected credential has been compromised. Do not send access tokens or unnecessary personal data in support requests.

10. No warranties

To the fullest extent permitted by applicable law, the Service is provided “as is” and “as available,” without express, implied, or statutory warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, security, availability, or error-free operation.

The operator does not warrant that every customer will be matched correctly or that every synchronization will be immediate, complete, accurate, or successful. You must verify data and maintain appropriate source records before relying on it.

11. Limitation of liability

To the fullest extent permitted by applicable law, the operator and its suppliers, contractors, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, anticipated savings, goodwill, use, or data, regardless of legal theory and even if advised that such loss may occur.

The operator is not liable for losses caused by source data, your instructions or configuration, failure to verify synchronized information, unauthorized account access, prohibited data, missed or duplicate communications, business decisions, or the availability, behavior, security, or changes of Shopify, Attio, or another third-party service.

To the fullest extent permitted by applicable law, the operator’s total aggregate liability for all claims arising from or related to the Service, these Terms, and any related data processing will not exceed the greater of (a) the fees you paid for the Service during the 12 months immediately preceding the first event giving rise to liability and (b) EUR 50.

Any claim must be notified in writing within 12 months after you knew or reasonably should have known of the event giving rise to it, unless a longer period is required by mandatory law. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for intentional misconduct where applicable.

12. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold the operator and its suppliers, contractors, and representatives harmless from third-party claims, regulatory proceedings, losses, liabilities, and reasonable costs, including legal fees, arising from your data, instructions, unlawful or unauthorized use, breach of these Terms, infringement of another party’s rights, failure to obtain a lawful basis or required consent, or violation of your agreements with Shopify or Attio.

The operator will give reasonable notice of a covered claim and permit you to control its defense, provided that you may not settle a claim in a way that admits fault by or imposes non-monetary obligations on the operator without prior written consent.

13. Intellectual property and feedback

The operator and its licensors retain all rights in the Service, software, documentation, design, and related technology. Subject to these Terms, you receive a limited, revocable, non-exclusive, non-transferable right to use the Service for your internal business operations.

You retain rights in your data and grant the operator only the rights reasonably necessary to host, transmit, transform, and process it to provide, secure, support, and maintain the Service. Feedback may be used without restriction or payment, provided it does not identify your customers or disclose your confidential information.

14. Confidentiality

Each party will use the other party’s non-public confidential information only to perform or receive the Service, protect it with reasonable care, and disclose it only to personnel and contractors who need it and are bound by confidentiality obligations. This does not apply to information that is public without breach, independently developed, lawfully received without restriction, or required to be disclosed by law.

15. Suspension and termination

You may stop using the Service by disconnecting Attio, cancelling the applicable plan, and uninstalling the Shopify app. The operator may immediately restrict or suspend access where reasonably necessary to address a security risk, suspected misuse, unlawful processing, platform instruction, non-payment, or risk to another customer or the Service.

The operator may terminate the Service for material breach that is not remedied within a reasonable period after notice, where notice is practicable, or if the Service is discontinued. Termination may result in deletion of locally stored configuration, credentials, linkages, and job history. It does not delete records already written to your Attio workspace.

Provisions that by their nature should survive termination—including payment obligations, data responsibility, intellectual property, confidentiality, indemnification, warranty disclaimers, liability limitations, and governing law—will survive.

16. Events outside reasonable control

The operator is not responsible for delay or failure caused by events outside its reasonable control, including natural disasters, labor disputes, internet or utility failure, cyberattack, governmental action, war, epidemic, failures of hosting or platform providers, or changes to Shopify or Attio. The operator will use commercially reasonable efforts to reduce the effect where practicable.

17. General terms

These Terms and any expressly incorporated documents form the entire agreement concerning the Service and replace prior discussions on that subject. If a signed agreement conflicts with these Terms, the signed agreement controls. A data processing agreement controls only for a conflict concerning its specific data-protection subject matter.

You may not assign these Terms without prior written consent. The operator may assign them in connection with a merger, reorganization, sale of the Service, or transfer to an affiliate, provided the assignee assumes the relevant obligations. The parties are independent contractors, and neither may bind the other.

Failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder will continue in effect. Headings are for convenience and do not affect interpretation. The English version controls if a translation is inconsistent.

18. Governing law and disputes

These Terms are governed by the laws of Sweden, without regard to conflict-of-law principles. The parties will first attempt in good faith to resolve a dispute through written notice and reasonable discussion. Unresolved disputes will be submitted to the competent courts of Sweden, except where mandatory law requires another forum or governing law.

19. Changes to these Terms

These Terms may be updated to reflect changes to the Service, law, security practices, risk, or platform requirements. Material changes will be communicated through reasonable means and, where practicable, before they take effect. Security, legal, or platform-required changes may take effect immediately. If you do not accept an update, your remedy is to stop using the Service before it takes effect. Continued use constitutes acceptance where permitted by law.
